Address: Mailing address provided by Affiliate for purposes of receiving referral payments from Supplier

Purpose

The purpose of this Agreement is to establish the terms and conditions under which the Affiliate will promote and sell Company products through the Company Website using Unique Referral Link.

Affiliate Responsibilities

• The Affiliate will be provided with a Unique Referral Link to sell Company products.
• The Affiliate agrees to use ethical and lawful methods to promote Company products.
• The Affiliate will not make any representations, warranties, or other statements concerning the Company products except as expressly authorized in writing by the Company or which have been published on the Company’s Website.

Referral Fees

• The Affiliate will receive a referral fee of 10% of Net Sales generated through the Affiliate's Unique Referral Link.
• Payments on referral fees will be made within 60 days of purchase, provided that the minimum fee amount payable is $100.
• If the referral fee amount does not meet the $100 threshold, the amount will roll over to the next month until the minimum amount is met.

Payment

• Referral fee payments will be issued either via check, PayPal or Venmo depending on choice selected during the Affiliate Signup Process.
  • If Affiliate chooses to be paid by check, a paper check will be physically mailed to the address provided during the Affiliate Signup Process.
  • Affiliates may change their Address at any time by submitting a written notification to the Supplier via email. The Supplier must acknowledge receipt of this notification via a return email for the change to be valid.
  • The Company is not responsible for any fees charged by the Affiliate’s bank or payment provider.

Tax Obligations

• If the Affiliate earns more than $600.00 in referral fees during the calendar year, the Supplier will issue a Form 1099 to the Affiliate in accordance with IRS regulations.
• The Affiliate acknowledges and agrees that they are solely responsible for reporting and paying any state or federal income taxes on the referral fees earned under this Agreement.
• The Supplier will not withhold any taxes from the referral fees.

Term and Termination

• This Agreement is effective for a period of one (1) year from the Effective Date.
• This Agreement can be renewed by Affiliate within 30 days of expiration date by notifying Company using the email address resellers@snowhillwater.com
• The Agreement may be revoked by the Company at any time, without cause and without notice.

Relationship of Parties

• The Affiliate is an independent contractor and not an employee, agent, or partner of the Company.
• Nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.

Limitation of Liability

The Company will not be liable for any indirect, special, or consequential damages arising in connection with this Agreement or the Affiliate Program.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles.

Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and communications, whether written or oral, between the parties regarding the subject matter of this Agreement.

Amendments

The Company reserves the right to amend the terms and conditions of this Agreement at any time. Any amendments will be communicated to the Affiliate via the email address provided by the Affiliate and will be effective immediately upon receipt.

Acceptance

By participating in the Snow Hill Water Affiliate Program, the Affiliate agrees to the terms and conditions of this Agreement.
